1.1 Glas & Glas Attorneys and Consultancy (Aruba) VBA (“the Company”) is a limited liability partnership (vennootschap onder firma) organized under the laws of Aruba, practicing law and providing legal consultancy services.
2.1 These General Terms and Conditions apply to every agreement between the Company and the Client, and to all services provided by or on behalf of the Company.
2.2 These terms and conditions are available at www.lwyrup-aruba.com and have been filed with the Court of First Instance of Aruba.
2.3 The applicability of any general terms and conditions of the Client is expressly rejected.
3.1 All assignments are accepted and carried out exclusively by the Company, notwithstanding the provisions of Articles 7:404, 7:407 paragraph 2, and 7:409 of the Dutch Civil Code, the application of which is expressly excluded.
3.2 “Affiliated Persons” means all persons who work or have worked for the Company, whether as partners, employees, temporary staff, or otherwise, as well as all legal entities and natural persons who are involved in the execution of an assignment by the Company.
4.1 Any liability of individual partners, shareholders, directors, employees, or other Affiliated Persons of the Company is expressly excluded. The Client waives any and all rights to make claims against such individuals personally.
4.2 The Client shall indemnify and hold harmless all Affiliated Persons of the Company against any claims by third parties arising from or in connection with the services provided to the Client, including all costs of legal defense.
5.1 The Company's professional liability is limited to the amount paid out under its professional liability insurance policy in the relevant case, plus any applicable deductible under such policy.
5.2 If and to the extent that no payment is made under the professional liability insurance, the Company's liability shall be limited to the total amount of fees invoiced and paid by the Client in respect of the relevant assignment in the twelve (12) months preceding the event giving rise to the liability.
6.1 The provisions of Articles 4 and 5 benefit all natural and legal persons who work or have worked for the Company, including former partners, employees, and advisors.
6.2 These terms and conditions apply equally to any additional, follow-up, new, or amended assignments given by the Client to the Company.
7.1 All claims against the Company shall expire (verjaren) one (1) year after the date on which the Client became aware, or could reasonably have become aware, of the facts or circumstances giving rise to the claim.
8.1 When selecting third parties to be engaged in connection with an assignment, the Company shall exercise due care. However, the Company is not liable for any acts or omissions of such third parties.
8.2 If a third party engaged by the Company limits its liability, the Company is authorized to accept such limitation on behalf of the Client.
9.1 The Company's fees are calculated on the basis of the applicable hourly rate multiplied by the number of hours worked on the assignment.
9.2 In addition to the fees, the Client shall reimburse all disbursements (verschotten) incurred on the Client's behalf, plus a surcharge of ten percent (10%) of the total fees for general office expenses.
9.3 Turnover tax (belasting op bedrijfsomzetten, BBO/BAVP/BAZV) shall be added to all invoices at the applicable statutory rate.
10.1 The Company shall render invoices on a monthly basis or at such other intervals as it may determine.
10.2 All invoices are payable within fifteen (15) days of the invoice date, without any right of set-off or suspension.
10.3 In the event of late payment, the Client shall owe default interest at a rate of one and a half percent (1.5%) per month on the outstanding amount, calculated from the due date until the date of full payment.
10.4 If the Company is required to take collection measures, the Client shall be liable for all extrajudicial collection costs, which are fixed at a minimum of fifteen percent (15%) of the outstanding principal amount, without prejudice to the Company's right to claim the actual costs if higher.
11.1 Any funds received on behalf of the Client shall be held in a separate trust account maintained by the Glas & Glas Advocaten Third-Party Funds Foundation (Stichting Derdengelden Glas & Glas Advocaten).
11.2 No interest shall be payable to the Client on funds held in the trust account.
11.3 The Company retains the right to set off amounts owed by the Client against funds held in trust, to the extent permitted by applicable rules of professional conduct.
12.1 Either party may terminate the engagement at any time by written notice to the other party.
12.2 Upon termination, the Client shall pay for all services rendered and costs incurred up to the effective date of termination.
13.1 The Company shall retain case files for a period of ten (10) years following the conclusion or termination of the assignment.
13.2 After the expiration of this retention period, the Company shall be entitled to destroy the files without prior notice to the Client.
14.1 Any complaints regarding the services provided or the amount of an invoice must be submitted to the Company in writing within thirty (30) days of the date on which the Client became aware, or could reasonably have become aware, of the grounds for the complaint.
14.2 The submission of a complaint does not suspend the Client's payment obligations.
15.1 All legal relationships between the Company and the Client are governed exclusively by the laws of Aruba.
15.2 Any disputes arising from or in connection with the Company's services shall be submitted exclusively to the Court of First Instance of Aruba (Gerecht in Eerste Aanleg van Aruba).
